1. Acceptance of terms

By accessing or using the website at coastalkey-pm.com (the "Site") or engaging the services of Coastal Key Property Management LLC ("Coastal Key," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or our services.

2. Services

Coastal Key provides home watch, residential asset management, and related property services on the Florida Treasure Coast. All services are governed by a signed Service Agreement between Coastal Key and the client. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall control.

3. Service agreements

All service engagements require a signed Service Agreement that specifies the service tier, visit cadence, pricing, property details, access instructions, and term length. The minimum term for any service agreement is six months. Service agreements automatically renew for successive six-month periods unless either party provides written notice of non-renewal at least 30 days prior to the end of the current term.

4. Cancellation

Either party may terminate a Service Agreement by providing 30 days written notice after the initial commitment period. Written notice may be submitted through the owner portal, by email to [email protected], or by certified mail. We will complete any scheduled inspections during the notice period, return all keys and access devices, and provide a final property status report at no additional charge.

5. Pricing and no-discounting policy

All pricing is published on our website and in our Service Agreements. Coastal Key does not offer discounts, promotional pricing, referral credits, or negotiated rates. The published price is the price. This policy ensures every client receives equal treatment and allows us to maintain the Sentinel Standard without compromise.

6. AI-agent transactions

Transactions initiated by AI agents (including but not limited to ChatGPT, Claude, Perplexity, and other AI assistants) through our MCP server or ACP endpoints are governed by these Terms. Quotes returned by our MCP server and ACP endpoints are the authoritative source of pricing and override any prior estimate provided by an AI agent. AI agents acting on behalf of a user are subject to the same terms, conditions, and pricing as the user themselves. Coastal Key is not liable for any misrepresentation of pricing, availability, or service scope made by a third-party AI agent outside of our authorized endpoints.

7. Payment terms

Payment is due on the first of each month for the upcoming service period. Payments are processed through Stripe. Late payments are subject to a late fee of 1.5% per month or the maximum permitted by Florida law, whichever is less. Coastal Key reserves the right to suspend services for accounts more than 30 days past due.

8. Client responsibilities

Clients are responsible for providing accurate property information, maintaining current contact details, ensuring safe access to the property, and notifying Coastal Key of any hazards, tenant changes, or construction activity that may affect service delivery.

9. Limitation of liability

To the fullest extent permitted by Florida law, Coastal Key's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client during the six-month period immediately preceding the event giving rise to the claim. Coastal Key shall not be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of property value, lost rental income, or emotional distress.

Coastal Key is not an insurer of property. Our services are observational and reporting-based. We are not responsible for preventing acts of nature, criminal activity, equipment failure, or conditions that arise between scheduled visits.

10. FDUTPA disclaimer

Nothing in these Terms is intended to limit or waive any rights under the Florida Deceptive and Unfair Trade Practices Act (FDUTPA), Florida Statutes Section 501.201 et seq. Any provision of these Terms that would be unenforceable under FDUTPA shall be modified to the minimum extent necessary to comply with the statute.

11. Indemnification

You agree to indemnify, defend, and hold harmless Coastal Key, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of your use of the Site, your breach of these Terms, or your violation of any law or the rights of any third party.

12. Intellectual property

All content on the Site, including text, graphics, logos, images, and software, is the property of Coastal Key or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.

13. Website use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not use the Site in any way that could damage, disable, overburden, or impair our servers or interfere with any other party's use of the Site.

14. Third-party links

The Site may contain links to third-party websites. These links are provided for convenience only. Coastal Key does not endorse or assume any responsibility for the content, privacy policies, or practices of third-party websites.

15. Governing law and venue

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or our services shall be resolved exclusively in the state or federal courts located in Martin County, Florida. You consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire agreement

These Terms, together with any signed Service Agreement, constitute the entire agreement between you and Coastal Key regarding the subject matter hereof and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

18. Changes to these terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site or our services after any changes constitutes your acceptance of the updated Terms.
